AFFILIATED TO THE BRITISH MODEL FLYING ASSOCIATION
CONSTITUTION (2005 Revision) AGM 15/11/2005
1 Name
The name of the club shall be the ‘TEESSIDE MODEL FLYING CLUB’.
2 Object
The object of the club is the promotion and encouragement of all branches of aeromodelling for-the benefit of the community in the Teesside Area, including education on safe practices for both building and flying model aircraft, with information freely given.
3 Membership
Membership of the Club shall be open to all persons irrespective of ethnicity, nationality, sexual orientation, religion or beliefs; or of age, sex or disability except as necessary consequence of the requirements of the model flying as a particular sport.
Membership grades are Senior and Junior (under 18 years).
Subscriptions are due annually from the 1st January; new members joining after 31st August may pay a reduced fee.
ALL MEMBERS & GUEST FLYERS MUST HAVE BMFA INSURANCE.
4 Meetings
Meetings are held on the third Tuesday in the month between September – March at 19.30 - 22.00 hrs at the Billingham Synthonia Club, Billingham or such venue as the committee may decide.
Committee meetings will be arranged as necessary.
A statement of accounts will be tabled at the AGM in November each year and adjustment to fees will be made, if required, to apply from the following January.
5 Committee
The following officers will be elected annually at the AGM, Chairman, Vice Chairman, Hon Secretary, Hon Treasurer, Safety Officer & BMFA Liaison Officer and ordinary committee members as required up to six.
The total number of elected officers and members of the committee shall not exceed twelve.
The Chairman, Secretary and Treasurer shall be Ex Officio Trustees to hold any property held by the club.
Nominations must be made in writing to the Chairman at least two weeks before the date of the AGM and must carry a proposer and seconder. A vote will be taken of eligible members present at the AGM.
It is possible to co-opt a member onto the committee for administration or advisory purposes providing that the committee is in full agreement.
The committee is to arrange the policy of the club and to make decisions for its welfare, safety and successful operation, including admission and termination of membership.
Rules may only be amended at an AGM or an EGM with the exception of Safety rules which the committee can amend at anytime.
6 Appeals
Should any member disagree with any course of action taken by the committee he/she has the right to attend part of the next committee meeting to express his/her views for discussion.
If any complaint is made against a member he/she must be given the opportunity to state his/her case before disciplinary action is discussed at the next committee meeting.
7 Emergency Instructions
Should any emergency arise e.g. Foot and Mouth disease a notice will be posted or members notified of the nature and effect of the emergency, together with instructions relating to the same.
8 Behavior of Members
All members must behave in a responsible manner and must abide by the club rules laid down by the committee.
9 Finance
The clubs financial year shall run from 1st October until 30th September.
The club will have the power to obtain, collect and receive funds by means of contributions, donations, subscriptions and the sale of donated goods.
The income of the club shall be applied to the object set out in clause 2 and no portion thereof shall be paid or transferred or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to any member of the club. Provided that nothing herein shall prevent the payment in good faith of reasonable and proper out -of -pocket expenses to any member, officer or servant of the club.
The club shall appoint trustees.
All bank accounts shall be opened in the clubs name with all cheques signed by two honorary officers.
Annual accounts will be subject to internal audit by two non-committee members.
10 Alteration to the Constitution
A resolution to alter this constitution may be passed at any general meeting provided that the following conditions are met:
(a) The secretary receives the terms of the proposed resolution at least 21 days before the meeting at which the resolution is brought forward.
(b) The secretary shall contact members, giving at least 14 days notice of the proposed resolution to all members.
(c) The quorum for the carriage of such a resolution shall be one third of those entitled to vote.
(d) The resolution shall receive the assent of two thirds of those present and voting
Note: All members are entitled to vote.
11 Dissolution of the Club
A resolution to dissolve the club may be passed at any general meeting provided that the following conditions are met:
(a) The membership falls to TEN Senior members or less.
(b) The secretary receives the terms of the resolution at least 28 days before the meeting at which the resolution is to be brought forward.
(c) The secretary shall give at least 21 days notice, in writing, of the proposed resolution to all members.
(d) The quorum for the carriage of such a resolution shall be two thirds of those eligible to vote.
(e) The resolution shall receive the assent of two thirds of those present and entitled to vote.
In the event of the dissolution of the Club, any assets remaining after the satisfaction of all debts and liabilities shall not be paid to or distributed among the members of the Club, but shall be given or transferred to one or more of the following approved sporting or charitable bodies:
- A registered charitable organisation(s)
- Another club which is registered CASC
- The sports national governing body for the related community sport
